1. Agreement to Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you", or "your") and Letlify, operated by Nelsa Tech LTD ("Letlify", "we", "us", or "our"). By accessing or using letlify.com, our web application, APIs, and appointment booking widgets (collectively, the "Platform"), you confirm that you have read, understood, and agreed to be bound by these Terms and our Privacy Policy under the laws of the Federal Republic of Nigeria.
2. Eligibility & Account Creation
To create an account or use Letlify, you must be at least 18 years of age and possess the legal authority to enter into binding agreements. When registering, you must provide accurate, current, and complete information. You are solely responsible for maintaining the security of your account credentials and for all activities that occur under your workspace. Accounts may not be used for fraudulent activities or to gain unauthorized competitive intelligence.
3. User Content & Licensing
You retain full ownership of all images, logos, service descriptions, text, and media that you upload or publish on the Platform ("User Content"). By submitting content, you grant Letlify a worldwide, non-exclusive, royalty-free, transferable license to host, display, adapt, and distribute your content solely as necessary to operate, maintain, and promote your store and our platform services. You warrant that you own or hold all required rights and permissions for the content you upload.
4. Third-Party Software & Payment Gateways
Letlify integrates with verified third-party applications and payment infrastructure (including verified banking gateways, Google Calendar, and messaging infrastructure) to facilitate online scheduling, deposits, and payouts. Third-party services are subject to their own respective terms and privacy policies. While Letlify coordinates booking confirmations and payment logs, we are not a party to the independent service agreements between merchants and their clients, and we do not assume liability for external gateway disruptions, processing delays, or third-party banking errors.
5. Plans, Fees & Billing Terms
Letlify operates on a transparent performance-based model (3.8% + NGN 100 for local transactions in NGN, and 7.5% for international transactions) with zero monthly software subscription fees. Merchants may configure their store to absorb transaction fees or automatically pass them to clients during checkout. Payouts are transferred directly to your verified local merchant bank account.
6. Electronic Notices & Communications
By creating an account, you consent to receive operational communications from us electronically. These include appointment reminders, booking confirmations, payout receipts, security alerts, and system notifications. You may also receive promotional announcements or feature releases, from which you can unsubscribe at any time via your account settings or email footer links.
7. Acceptable Use & Conduct Guidelines
You agree to use Letlify lawfully and ethically. You must not: (a) post defamatory, harassing, sexually explicit, hateful, or illegal material; (b) distribute malware, viruses, or automated scripts that compromise platform stability; (c) execute unauthorized scraping, data harvesting, or automated crawling of platform data; (d) impersonate any person, business, or organization; or (e) infringe upon the intellectual property or privacy rights of any third party. Letlify reserves the right to remove non-compliant content and suspend offending accounts.
8. Platform Availability & Service Updates
We continuously improve our platform and reserve the right to enhance, modify, or temporarily suspend features with or without prior notice. While we strive for continuous availability and accurate rate displays, we do not warrant that all service descriptions, availability slots, or pricing tiers will be entirely error-free at all times. Letlify reserves the right to correct inaccuracies and adjust operational parameters as necessary.
9. External Links & Third-Party Resources
The Platform may contain links to external third-party websites for informational or integration purposes. Letlify does not control, endorse, or assume responsibility for external web content, security standards, or policies. Accessing external websites is conducted entirely at your own risk.
10. Account Suspension & Termination
You may close your account at any time through your dashboard settings or by notifying hello@letlify.com. Letlify reserves the right to restrict, suspend, or terminate accounts that breach these Terms, fail to pay subscription fees, or present security risks to the platform. Provisions regarding intellectual property, limitation of liability, indemnity, and governing law shall survive any account termination.
11. Intellectual Property & Brand Rights
The Letlify platform, trademarks, software code, UI design, icons, logos, and visual elements are the exclusive intellectual property of Nelsa Tech LTD and its licensors. You may not copy, reproduce, reverse-engineer, decompile, modify, or create derivative works from any part of our platform without our prior written authorization.
12. Disclaimer of Warranties
The Platform is provided on an "as-is" and "as-available" basis. Letlify disclaims all warranties of any kind, whether express, statutory, or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, continuous uptime, and non-infringement. We do not guarantee that the service will be uninterrupted, error-free, or free from harmful components.
13. Limitation of Liability
To the maximum extent permitted by applicable law, Letlify and Nelsa Tech LTD, along with their directors, officers, and employees, shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, business revenue, data, or goodwill. In no event shall Letlify’s total aggregate liability exceed the total amount paid by you to Letlify in the twelve (12) months preceding the incident.
14. Indemnification
You agree to defend, indemnify, and hold harmless Letlify, Nelsa Tech LTD, and their respective affiliates, officers, directors, and agents from and against any claims, losses, liabilities, expenses, or legal fees resulting from your use of the Platform, your User Content, your breach of these Terms, or your violation of any third-party rights.
15. Privacy & Data Protection (NDPR)
We process personal data in compliance with our Privacy Policy and the Nigeria Data Protection Regulation (NDPR) enforced by the Nigeria Data Protection Commission (NDPC). When processing client data on your behalf, you confirm that you have obtained lawful consent to collect, store, and transfer such information. For international data routing, we implement recognized technical and organizational safeguards to protect data integrity.
16. Governing Law & Dispute Resolution
These Terms are governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to conflict of law principles. Any dispute, controversy, or claim arising out of or relating to these Terms shall be submitted to the exclusive jurisdiction of the state and federal courts located in Nigeria.
